Legal
These terms form the agreement between you and EQCoach. They cover what the service does, what you may and may not do with it, how billing works, and where our responsibility ends. Please read section 3 in particular — EQCoach is a coaching tool, not a substitute for professional care.
These Terms of Service (the “Terms”) are a binding agreement between you and EQCoach (“EQCoach”, “we”, “us”). By creating an account or using the service, you confirm that you accept these Terms and our Privacy Policy, which is incorporated by reference.
If you do not agree with these Terms, do not use EQCoach. If you are entering into these Terms on behalf of an organisation, you confirm you have authority to bind that organisation.
EQCoach is a web application that converts content you supply — YouTube videos, podcasts, documents, books and notes — into personalised emotional-intelligence coaching, delivered through an AI chat interface and supported by a curated library of leadership and personal development material.
The service depends on third-party AI providers to transcribe, index and respond to your content. Those providers are listed in our Privacy Policy.
Read this before relying on anything EQCoach tells you
You may need to verify your email address before some features become available. We may refuse, suspend or cancel an account at our discretion where these Terms are breached.
EQCoach is offered on the plans below. Free accounts are subject to daily limits; paid plans are subject to fair-use limits described further down.
Daily limits reset each day. We may change plan features, limits and prices — see Changes to these terms for how we give notice.
Fair use
Payments are processed by Stripe. By subscribing you authorise us, through Stripe, to charge your payment method on the terms below. We never receive or store your full card details.
Refunds
Except where the law gives you a right to a refund, payments are non-refundable and we do not provide partial refunds for unused time in a billing period. If you believe you have been charged in error, contact us at support@eqcoach.app and we will investigate.
If you are a consumer in the UK or EU, you have a statutory right to cancel within 14 days of purchase. By starting to use the service within that period, you ask us to begin immediately and acknowledge that you lose the right to cancel once the service has been fully performed.
Certified Partners receive a unique referral link and a dashboard showing the clients who signed up through it.
You agree not to:
You keep ownership of everything you upload. We do not claim any ownership of your documents, recordings, messages or the coaching conversations you have.
You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, transcribe, index and display your content — and to pass it to the AI providers listed in our Privacy Policy — strictly for the purpose of operating the service for you. This licence ends when you delete the content or your account, except for copies retained in backups for a limited period.
You confirm that you have the rights necessary to upload each piece of content and to let it be processed this way. You are responsible for keeping your own copies of anything important; the service is not a backup or archival system.
We do not use your content to train our own models.
EQCoach lets you submit third-party material such as YouTube videos and podcast episodes for analysis. You are responsible for ensuring you have the right to do so, and for complying with the terms of the platform the content comes from. We do not own, endorse or vouch for third-party content, and we may refuse to process material where we believe processing it would be unlawful.
Our curated knowledge base contains excerpts from published works used to inform coaching responses. Those works remain the property of their respective rights holders.
The EQCoach application, its name, logo, interface, design, prompts and underlying software are owned by us or our licensors and protected by intellectual property law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for your own personal or internal business purposes. All rights we do not expressly grant are reserved.
We aim to keep EQCoach available but do not guarantee uninterrupted service. Maintenance, third-party outages, and factors outside our control can cause downtime. We may add, change or remove features at any time. If we discontinue a paid feature you are actively paying for, we will give reasonable notice and, where appropriate, a pro-rata refund.
Long-running operations such as transcription and video analysis are processed in the background and are subject to time and file-size limits that may change.
You may stop using EQCoach at any time, and may request account deletion as described in the Privacy Policy.
We may suspend or terminate your account, with notice where practicable, if you materially breach these Terms, if your use exposes us or other users to legal risk or harm, if payment fails repeatedly, or if we are required to by law. For serious breaches — such as unlawful content or attacks on our systems — we may act immediately and without notice.
On termination your right to use the service ends. Sections covering your content licence, intellectual property, disclaimers, limitation of liability, indemnity and governing law survive.
To the fullest extent permitted by law, EQCoach is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the service will meet your requirements, be uninterrupted, secure or error-free, that defects will be corrected, or that any output will be accurate or reliable.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud. If you are a consumer, you keep all statutory rights that cannot be waived by agreement.
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, nor for loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to your use of — or inability to use — EQCoach, even if we have been advised of the possibility.
Our total aggregate liability arising out of or relating to these Terms or the service is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars ($100).
These limits apply regardless of the legal theory on which a claim is based and survive any failure of an essential purpose of a limited remedy.
You agree to indemnify and hold harmless EQCoach, its officers, employees and suppliers from any claim, demand, loss, liability or expense — including reasonable legal fees — arising from content you upload, your use of the service, your breach of these Terms, or your violation of any law or third-party right.
These Terms are governed by the laws of [Add governing jurisdiction, e.g. England and Wales], without regard to conflict of law rules, and the courts of that jurisdiction have exclusive jurisdiction over any dispute. If you are a consumer, this does not deprive you of the protection of mandatory laws, or of the right to bring proceedings in the courts of the country where you live.
Before starting formal proceedings, please contact us at support@eqcoach.app so we can try to resolve the matter directly.
We may update these Terms as the service evolves. The “last updated” date at the top reflects the current version. For material changes we will give notice in the app or by email at least 30 days before they take effect, unless a change is required sooner by law. Continuing to use EQCoach after a change takes effect means you accept the updated Terms; if you do not accept them, stop using the service and cancel any subscription.
These Terms, together with the Privacy Policy, are the entire agreement between us. If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
